Item 5.02(d) – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On November 5, 2009, Kirt A. Walker, President and Chief Operating Officer of Nationwide Life Insurance Company (NLIC) was elected as a director of NLIC. Mr. Walker replaces Lawrence A. Hilsheimer, who resigned from the NLIC board in connection with his transition to a new role in the Nationwide enterprise.
