Item 8.01. Other Events
     On March 9, 2009, Trico Marine Services, Inc. (the “Company”) issued a press release reporting that it has sent a letter to Kistefos AS, a stockholder of the Company (“Kistefos”), conveying its Board of Directors’ unanimous rejection of Kistefos’s nomination of two individuals for election to Trico’s Board of Directors at the Company’s 2009 Annual Meeting of Stockholders.
     A copy of the press release and the letter are furnished as Exhibits and are incorporated herein by reference.
