Item 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On February 10, 2009, Douglas Holloway resigned from the board of directors of ValueVision Media, Inc., effective immediately. Mr. Holloway resigned due to a change in his responsibilities at NBC Universal, Inc. that no longer makes appropriate his service as NBC Universal’s board designee. He was serving on the Audit and the Governance and Nominating Committees.
