Item 2.05 Costs Associated With Exit Or Disposition Activities.

Effective as of November 10, 2008, concurrent with filing for reorganization under Chapter 11 of the Bankruptcy Code, Accentia Biopharmaceuticals, Inc. (the “Company”) ceased operations in its Accentia Pharmaceuticals subsidiary in order to focus available recourses on core business operations, including drug development. This action resulted in the termination of 26 employees. Excluding any non-cash accounting adjustments, such as impairments or charge-offs, which have not yet been determined and which may result from the cessation of the business, cash expenditures directly associated with the exit activities are anticipated to be approximately $0.1 million which are primarily as a result of one-time severance payments and costs of wind-up activities.
