ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
     On February 22, 2006, the Compensation Committee of the Board of Directors of Symbion, Inc. (the “Company”) approved salary increases for the executive officers of the Company for 2006 and a bonus plan for executive officers to be effective for the 2006 fiscal year. A description of these matters is attached hereto as Exhibit 10 and is incorporated herein by reference in its entirety.
