The  Company  announced  that  at  a  meeting  of the Board of Directors held on
November  3,  2008,  the  Board  voted  to  appoint  current  member,  Christian
Williamson  as  Chairman of the Board. James C. Fields will remain President and
CEO  and  will  continue  as  a  member  of  the  Board.

On  November  3,  2008,  Richard  Nagle,  a current member of the Board resigned
citing  other  commitments  and  obligations  that  do  not  allow  him to fully
participate  on  the  Board
