| Item 5.02. | Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers. |
On October 3, 2023, the Board of Directors (the “Board”) of Trane Technologies plc (the “Company”) elected Ana Paula de Jesus Assis to serve as an independent director of the Company’s Board. Ms. Assis will serve on the Human Resources and Compensation Committee; the Sustainability, Corporate Governance and Nominating Committee; and the Technology and Innovation Committee of the Board of Directors.
Ms. Assis has been employed by IBM Corporation since May 1996, and currently serves as Chair and General Manager, Europe, Middle East & Africa (EMEA), a position that she has held since January 2023. Prior to this, she was General Manager, EMEA from January 2022 until January 2023; General Manager, Client Transition Leader from October 2020 to December 2021; General Manager, Latin America from July 2017 to November 2020, General Manager Global Technology Services Latin America from February 2017 to July 2017, and Vice President of Software Sales, China from October 2015 to February 2017.
Ms. Assis will participate in the non-management director compensation program described on pages 41 through 43 of the Company’s definitive proxy statement filed with the Securities and Exchange Commission on April 21, 2023.
There are no arrangements or understandings between Ms. Assis and any other person pursuant to which Ms. Assis was elected to the Board. There are no transactions between Ms. Assis and the Company that would require disclosure under Item 404(a) of Regulation S-K.
