Other Events

The board of directors (the “Board”) of bleuacacia ltd (the “Company”), upon request of bleuacacia sponsor LLC (the “Sponsor”), elected to extend the date by which the Company must consummate a business combination (the “Termination Date”) from August 22, 2023 to September 22, 2023.

Pursuant to the Company’s amended and restated memorandum and articles of association, the Company may, without another shareholder vote, elect to extend the Termination Date on a monthly basis for up to six times by an additional one month each time after August 22, 2023, by resolution of the Board, if requested by the Sponsor, and upon five days’ advance notice prior to the applicable Termination Date, until February 22, 2024, or a total of up to nine months after May 22, 2023, unless the closing of a business combination shall have occurred prior thereto. This extension is the first of six one-month extensions permitted under the Company’s amended and restated memorandum and articles of association.
