ITEM 5.02DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On August 8, 2023, Jay K. Oberg, Senior Executive Vice President and Chief Risk Officer of Comerica Incorporated (the “Company”), informed the Company that he plans to retire on or around December 31, 2024. In preparation for his departure next year, the Company is conducting a search and evaluating candidates to fill the role of Chief Risk Officer. Mr. Oberg is expected to continue serving as the Chief Risk Officer until the Company has hired a replacement for such position. Thereafter, it is anticipated that Mr. Oberg will continue in the role of Senior Executive Vice President of the Company until his retirement in December 2024 to ensure a smooth and orderly transition of his responsibilities.
