Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 7, 2023, the Board of Directors of Caterpillar Inc. (the “Company”) accepted the previously tendered resignation of Kelly A. Ayotte, effective August 8, 2023, as a member of the Company’s Board of Directors as a result of her recent announcement of her candidacy for the position of governor of New Hampshire. Ms. Ayotte’s resignation was not the result of any disagreement with the Company. The Board of Directors is very grateful to Ms. Ayotte for her valuable contributions and many years of dedicated and excellent service.
Following their acceptance of Ms. Ayotte’s resignation, the Board decreased the size of the Board from 11 to 10 directors.
