Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
The Board of Directors (the Board) of Ally Financial Inc. (the Company) appointed Thomas (Todd) P. Gibbons to serve as a member of the Board, effective August 1, 2023, until the next annual meeting of stockholders. Mr. Gibbons was appointed to the Board’s Audit Committee and Risk Committee. In connection with his appointment, Mr. Gibbons will receive, under the Company’s 2021 Non-Employee Directors Equity Compensation Plan, a prorated annual retainer grant of deferred stock units, as described in the “Director Compensation” section of the Company’s most recent proxy statement.
