Item 7.01 Regulation FD Disclosure.

On July 11, 2023, Northern Oil and Gas, Inc. (the “Company”) disclosed the following information regarding its previously announced acquisition of Northern Delaware Basin properties from Alpha Energy Partners, which closed on December 1, 2022 (the “Acquisition”).

In addition to the cash consideration paid by the Company at closing of the Acquisition, there was potential for up to $22.5 million of additional future cash consideration to be paid by the Company depending on NYMEX WTI pricing during the first half of 2023. However, average NYMEX WTI pricing during the first half of 2023 did not reach the level required for the payment of additional consideration, and as a result no further consideration is payable by the Company in connection therewith.
