Item 8.01. Other Events.
Pursuant to its articles of association, Pearl Holdings Acquisition Corp, a Cayman Islands exempted company (the “Company”), has been afforded a three-month extension for completion of an initial business combination until September 17, 2023 (with the potential for a further extension until December 17, 2023, on the terms set forth in the articles of association), as a result of entering into a non-binding letter of intent with respect to a potential initial business combination. No assurances can be made as to any further extension, that a definitive agreement will be entered into following the execution of the non-binding letter of intent, or that the Company will complete an initial business combination.
