Item 5.07    Submission of Matters to a Vote of Security Holders

On Friday, May 12, 2023, Ranger Energy Services, Inc. (the “Company” or “Ranger”) held its 2023 Annual General Meeting of Stockholders (the “Annual Meeting”). There were a total of 25,922,342 shares of the Company’s Class A Common Stock eligible to vote and 23,070,609 shares were represented in person or by valid proxy at the Annual Meeting. At the Annual Meeting, Ranger’s stockholders voted on the following proposals and the final voting results for each proposal are below.
Proposal 1 — The reelection of the two Class II directors of the Company, each to serve for a three-year term until the Company’s 2026 Annual Meeting, as recommended by the Company’s board of directors (the “Board”).

In accordance with Item 5.07(d) of Form 8-K, the Company reports that, after considering the results of this advisory vote, the Board has determined that the Company will hold the non-binding advisory vote on executive compensation once every year until the next required advisory vote on the frequency of such non-binding advisory votes, which will be no later than the Company's annual general meeting of stockholders occurring six years from the date of the 2023 Annual Meeting.
Item8.01    Other Events
As previously announced in the Company’s Form 8-K filing on March 7, 2023, and effective as of the date of the 2023 Annual Meeting, the Board (i) resolved to reduce its size from nine to seven members, (ii) accepted Byron Dunn’s announcement to not stand for re-election, and (iii) Gerald Cimador’s resignation. Subsequent to the completion of the 2023 Annual Meeting, the Board now consists of seven members, including Stuart N. Bodden, William M. Austin, Michael C. Kearney, Charles S. Leykum, Krishna Shivram, Richard E. Agee, and Brett Agee. The Board appointed Krishna Shivram to replace Mr. Dunn on the Company’s Audit Committee. The following Board Committee assignments are effective as of May 12, 2023.
