On May 9, 2023, in line with its growth strategy, Forafric Global PLC (the “Company”) entered into an agreement to acquire 90% of Société Industrielle des Minoteries du Sud (SIMS), which is a soft wheat milling unit located in Marrakech. The unit has a capacity of 300T/day. Although this acquisition is in the ordinary course of the Company’s business, the Company is voluntarily disclosing it via this Current Report on Form 6-K. The closing of the acquisition is subject to, among other things, approval from Morocco’s antitrust authority. We cannot guarantee that we will receive such approval and therefore, it is possible that the acquisition may never occur.
