State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
 
Broadway Financial Corporation (the “Registrant”) was unable to file, without unreasonable effort and expense, its Quarterly Report on Form 10-Q for the three months ended March 31, 2023, because of delays in obtaining the information necessary to complete the new disclosure requirements for the quarter associated with the allowance for credit losses and the adoption of Accounting Standards Codification Topic 326 – Financial Instruments—Credit Losses. We have now obtained the information necessary to allow for the completion of the disclosures and will be filing the Form 10-Q concurrently with this Form 12b-25.

For the three months ended March 31, 2023, the Registrant reported net income of $1.6 million, or $0.02 per share, compared to net income of $958 thousand or $0.01 per share for the three months ended March 31, 2022.  As noted above, the Registrant will be filing the Form 10-Q concurrently with this Form 12b-25. In addition, interested parties can refer to the current report on Form 8-K, furnished to the Securities and Exchange Commission on May 5, 2023 as amended on May 16, 2023, which reports the Registrant’s financial results for the three months ended March 31, 2023.
