Explanation of Responses:
1. In connection with the spin-off of Equitrans Midstream Corporation (ETRN) from EQT Corporation (EQT) on November 12, 2018, Mr. Porges received ETRN shares held in his EQT 401(k) account (his former employer). Pursuant to the terms of the EQT 401(k) plan and applicable law, Mr. Porges was forced to liquidate and sell all ETRN shares held in his EQT 401(k) account.
2. The price reported in this column is a weighted average price. The common stock sold on May 7, 2019 was sold in multiple transactions at prices ranging from $20.505 to $20.86, inclusive. The common stock sold on May 8, 2019 was sold in multiple transactions at prices ranging from $20.46 to $20.74, inclusive. The reporting person undertakes to provide to ETRN, any security holder of ETRN, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares of common stock sold at each separate price within the ranges set forth in this footnote.
