Item 1.01. Entry into a Material Definitive Agreement.

On August 15, 2023, Athena Funding I LLC (“Athena Funding I”) executed the Third Amendment to the Credit Agreement (the “Amendment”), dated as of July 15, 2022, by and among Athena Funding I, as borrower, Société Générale, as administrative agent, State Street Bank and Trust Company, as collateral agent, collateral administrator and custodian, Alter Domus (US) LLC, as document custodian, and the lenders party thereto. The Amendment increases (i) the total term loan commitment from $350,000,000 to $400,000,000 and (ii) the total revolving loan commitment from $350,000,000 to $400,000,000.
