”) and Urstadt Biddle Properties Inc. (“
UBP
”) issued a joint press release announcing that the two companies have entered into a definitive merger agreement (the “
Merger Agreement
”) by which Regency will acquire UBP in an
all-stock
transaction, valued at approximately $1.4 billion, including the assumption of debt and preferred stock. A copy of the press release is being furnished on this Current Report on Form
