Item 1.01

Entry into a Material Definitive Agreement.

On March 7, 2023, BridgeBio Pharma, Inc. (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Goldman Sachs & Co. LLC, Evercore Group L.L.C. and Morgan Stanley & Co. LLC, as representatives of the several underwriters listed on Schedule I thereto (collectively, the “Underwriters”), relating to an underwritten public offering (the “Offering”) of 8,823,530 shares of the Company’s common stock, $0.001 par value per share (the “Common Stock”), at a price to the public of $17.00 per share. The Company granted the Underwriters a 30-day option to purchase, at the public offering price less underwriting discounts and commissions, up to an additional 1,323,529 shares of Common Stock. The Company estimates net proceeds from the Offering, after deducting the underwriting discounts and commissions and other estimated offering expenses payable by the Company, will be approximately $143.1 million, excluding any exercise of the Underwriters’ option to purchase additional shares. The Offering is expected to close on March 10, 2023, subject to the satisfaction of customary closing conditions.

The Company currently expects to use the net proceeds from the Offering to fund clinical and pre-clinical development of its current and future product candidates, conduct research activities, and for working capital and other general corporate purposes. The Company may also use a portion of the net proceeds to invest in or acquire businesses or technologies that the Company believes are complementary to its own, although it has no current plans, commitments, or agreements with respect to any such material investments or acquisitions as of the date of the Prospectus (as defined in the Underwriting Agreement). These intentions are subject to change. The Company believes that its existing cash, cash equivalents, restricted cash and marketable securities, together with the net proceeds from the Offering, will be sufficient to fund its operations into 2024.

The Company made customary representations, warranties and covenants concerning the Company and the registration statement in the Underwriting Agreement and also agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act of 1933, as amended (the “Securities Act”). The representations, warranties and agreements contained in the Underwriting Agreement were made only for purposes of such agreement and as of specific dates, were solely for the benefit of the parties thereto and may be subject to limitations agreed upon by the contracting parties to such agreement. The Offering is being made pursuant to the Company’s effective shelf registration statement on Form S-3ASR (File No. 333- 239734), including the prospectus dated July 7, 2020, as supplemented by a prospectus supplement dated March 7, 2023. This Current Report on Form 8-K does not constitute an offer to sell or the solicitation of an offer to buy any of the shares of Common Stock.

In connection with the Offering, the Company and the Company’s directors and executive officers also agreed not to sell or transfer any Common Stock without first obtaining the written consent of the representatives, subject to certain exceptions, for 60 days after the date of the Prospectus.
