Item 1.01. Entry into a Material Definitive Agreement.

 

On October 13, 2020, Petra Acquisition, Inc. (the “Company”) consummated the initial public offering (“IPO”) of 7,000,000 of its units (“Units”). Each Unit consists of one share of common stock of the Company, par value $0.001 per share (“Common Stock”), and one redeemable warrant of the Company (“Warrant”), with each Warrant entitling the holder thereof to purchase one share of Common Stock for $11.50 per share. The Units were sold at a price of $10.00 per Unit, generating gross proceeds to the Company of $70,000,000.

 

On October 13, 2020, simultaneously with the consummation of the IPO, the Company completed the private sales (the “Private Placements”) of an aggregate of 3,150,000 private warrants (the “Private Placement Warrants”) to Petra Investment Holdings, LLC (“Sponsor”). at a purchase price of $1.00 per Private Placement Warrant, generating gross proceeds to the Company of $3,150,000.

 

A total of $70,700,000 of the proceeds from the IPO and the Private Placements were placed in a U.S.-based trust account at J.P. Morgan Chase Bank, N.A. maintained by Continental Stock Transfer & Trust Company, acting as trustee.

 

An audited balance sheet as of October 13, 2020 reflecting receipt of the proceeds received by the Company in connection with the consummation of the IPO and the Private Placement has been issued by the Company and is included as Exhibit 99.1 to this Current Report on Form 8-K.

 

On October 14, 2020, the underwriters exercised the over-allotment option in part, and the closing of the issuance and sale of an additional 278,151 Units occurred (the “Over-Allotment Option Units”) on October 16, 2020 at $10.00 per Unit, generating gross proceeds of $2,781,510. Simultaneously with the closing of the sale of additional units, the Company consummated the sale of an additional 83,446 Private Warrants at a price of $1.00 per Private Warrant, generating total proceeds of $83,446. Following the closing of the over-allotment option and sale of additional Private Warrants, an aggregate amount of $73,509,325 has been placed in the Company’s trust account established in connection with the IPO. 

 

In addition, the  shares of common stock of the Company (the “Founder Shares”) held by the Sponsor (prior to the exercise of the over-allotment) included an aggregate of up to 262,500 Founder Shares subject to forfeiture by the Sponsor to the extent that the underwriters’ over-allotment option was not exercised in full. Since the underwriters exercised the over-allotment option in part, 192,962 Founder Shares remain subject to forfeiture as of October 16, 2020.
