(the “Company”) in connection with the registration by the Company of 5,478,439 issued and outstanding shares (“Shares”) of common stock, $0.0001 par value per share (the “Common Stock”) of the Company, pursuant to a Registration Statement of Form S-1 filed with the Securities and Exchange Commission on May 15, 2020 (the “Registration Statement”).
