Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 27, 2023, Camden Property Trust (the “Company”) adopted the First Amendment (the “First Amendment”) to the Sixth Amended and Restated Bylaws of the Company to delete the requirements in the advance notice bylaw provisions requiring disclosure of the nominating shareholder’s (a) plans or proposals for nominations of directors at other public companies and (b) proposals or nominations submitted by such shareholder at other public companies within the past 36 months. The foregoing description of the First Amendment is qualified in its entirety by reference to a copy of the First Amendment filed as Exhibit 3.1 to this Form 8-K, which is incorporated by reference herein.
