Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 17, 2023, the Organization and Compensation Committee of the Board of Directors of Public Service Enterprise Group Incorporated (PSEG) approved a retention award for Daniel J. Cregg, Executive Vice President and Chief Financial Officer, in the amount of $2,000,000 in the form of Restricted Stock Units granted under PSEG’s Long-Term Incentive Plan. The vesting of this award is conditioned on Mr. Cregg remaining an active employee of PSEG or one of its subsidiaries through January 1, 2025.
