BT Brands, Inc. (the “Company”) is filing this Form 12b-25 with the Securities and Exchange Commission (the “SEC”) to postpone the filing of its Annual Report on Form 10-K for the fiscal year ended January 1, 2023 beyond April 3, 2023, the prescribed due date for such filing, because the Company was unable to complete the consolidation of the four businesses it acquired during the 2022 fiscal year within the prescribed period without unreasonable expense or effort. The Company expects to file its Form 10-K on or before the fifteenth calendar day following the prescribed due date.
