Item 7.01 - Regulation FD Disclosure

On March 16, 2023, management of System1, Inc. (the “Company”) determined to postpone the release of its previously scheduled earnings press release and conference call and delay the filing of the Company’s Annual Report on Form 10-K for the year ended December 31, 2022 in order to permit additional time to complete its preparation and corresponding review of its consolidated financial statements as of and for the year ended December 31, 2022.

Further, on March 16, 2023 the Company filed a Form 12b-25 Notification of Late Filing with respect to the Company’s filing of its Annual Report on Form 10‑K for the year ended December 31, 2022. The additional time required to close the Company’s books and records for the year ended December 31, 2022 includes, but is not limited to: (i) the evaluation and quantification of identified accounting errors in historical 2022 quarterly reporting periods, (ii) the completion of the purchase accounting for business combinations which closed during the year ended December 31, 2022 and (iii) the 2022 goodwill impairment analysis to determine the amount of goodwill impairment and the evaluation of the period in which an impairment of goodwill originated.

The Company issued a press release announcing the postponement of its earnings press release and earnings call for the quarter and year ended December 31, 2022 and the filing of the Form 12b-25 Notification of Late Filing. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.
