On February 9, 2023, Oak Street Health, Inc. (“Oak Street Health”) made available to employees the following transcript of a video message recorded to its employees by the CEO of CVS Health Corporation (“CVS Health”):

Hello, Oak Street Health Team!

I am so excited about today’s announcement and look forward to welcoming you to CVS Health post close. As a company, we are committed to improving the health of all Americans, and we share that common purpose with you. We are so impressed with what Oak Street has been able to deliver for seniors, and we couldn’t be happier to have the opportunity to make a bigger health impact together.

When I took over as CEO of CVS Health in early 2021, I set out a bold strategy that’s focused on delivering superior health experiences for consumers, and we are doing that by expanding the health services we offer in primary care, in the home, and in better enabling providers. We have been very deliberate about the kinds of capabilities and assets that we’re interested in, in acquiring that support, our value based care strategy, and our value based care platform.

Last year, we announced our proposed acquisition of Signify Health, a leading home health company, and now Oak Street, which we see as the very best primary care company that supports seniors. As I said earlier, we are so impressed by the strength of Oak Street Health’s care model, your technology, and your consumer reach. But what I’m especially impressed with is all of you, the “Oakies” who make Oak Street Health so special. Together, I know that we will achieve great things.

I had the opportunity to visit one of the Oak Street Health clinics down the road here in Woonsocket, Rhode Island, where CVS Health is headquartered. In seeing that center and meeting the team, it was immediately clear to me that our companies are both obsessed with the consumer and improving their overall health experience.

In fact, our purpose is bringing our heart to every moment of your health—a testament to our shared commitment to improving the health of those we serve. That’s why I’m so thrilled to be bringing our two companies together.

I thought I’d tell you a little bit about me. I’m incredibly passionate about changing the way health care is delivered in this country. Early in my life, I saw firsthand how fragmented, how expensive, and how confusing the health care system was for my family members. Every action we take as a company and every decision we make is through the lens of the consumer and how they’re going to experience CVS Health. Changing health care that improves health for all—it’s what gets me up every single morning and it drives me every single day.

So I’m married, my husband’s name is Kevin. I have a Portuguese water dog—her name is Piper. And I am passionate about my wellness and am in love with the Peloton, so you can find me on the Peloton every single morning at 5 a.m.

And one more fact about me - as an Aetna leader, when we were acquired by CVS Health, I know exactly what it’s like. I can tell you that joining the CVS health team accelerated our strategy, it expanded our reach, and opened new doors professionally.


Let me tell you a little bit about CVS Health. We have 300,000 dedicated colleagues focused on improving health care in this country. We have three foundational businesses that are leaders in the marketplace: Aetna Health Insurance Benefits, Caremark, Our Pharmacy Benefits Management Business, and our retail business that serve consumers in CVS Pharmacy, HealthHUBs, and MinuteClinic locations. I’m told that there’s one significant question out there about today’s announcement and that’s: will you all get CVS health discounts when you join CVS Health? The answer is yes. Like all CVS Health colleagues, you’ll have a 30% discount on CVS-branded products and a 20% discount on all other products at CVS stores. We’re really excited to share that discount program with you when our deal closes.

Oak Street was founded just ten years ago. It’s not easy to build such an incredible company so quickly. We are delighted that Mike will be staying on to lead Oak Street and continue to build and grow the business. I want to thank you for all of your passion and everything you have done and will continue to do to improve the health of all Americans.
