Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 30, 2022, Ivy Zelman resigned as a member of the board of directors (the “Board”) of Sculptor Acquisition Corp I (the “Company”). Ms. Zelman’s resignation was not the result of any disagreement with the Company on any matter related to the Company’s operations, policies, practices, the Company’s management, the Board, or otherwise.

On November 30, 2022, Wayne Cohen resigned as a member of the Board. Mr. Cohen’s resignation was not the result of any disagreement with the Company on any matter related to the Company’s operations, policies, practices, the Company’s management, the Board, or otherwise. Concurrent with Ms. Zelman’s resignation, Mr. Cohen resigned so that a majority of the Board would continue to be comprised of independent directors.
