Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On October 25, 2022, the Board of Directors of Marine Products Corporation (the “Company”) appointed Amy R. Kreisler as Director effective October 25, 2022. Ms. Kreisler will stand for election by the stockholders in 2025 as a Class III Director. Ms. Kreisler has also been appointed to the Nominating and Corporate Governance Committee effective October 25, 2022 and will be compensated on the same basis as the other non-employee directors. There are no transactions between Ms. Kreisler and the Company that would be reportable under Item 404(a) of Regulation S-K, and no arrangements or understandings with any persons pursuant to which she was selected as a director.
