Item 1.01. Entry into a Material Definitive Agreement.

On October 11, 2022, Zuora, Inc. (“Zuora”) entered into the Third Amendment to Loan and Security Agreement (the “Amendment”) with Silicon Valley Bank, amending the Loan and Security Agreement dated as of June 14, 2017 and previously amended on October 11, 2018 and January 19, 2021.

The Amendment extends the maturity date of the revolving line of credit to thirty-six (36) months following the effective date of the Third Amendment and updates certain other provisions for business flexibility. The Amendment contains customary representations and warranties.

The foregoing summary of key terms of the Amendment does not purport to be complete and is subject to, and qualified in its entirety by, the complete text of the Amendment, a copy of which Zuora expects to file with its Quarterly Report on Form 10-Q for the period ended October 31, 2022, and upon filing will be incorporated herein by reference.
