DEPARTURE OF DIRECTORS AND CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On September 20, 2022, the Company received a letter of resignation from William R Sherman resigning as a management Director, Corporate Secretary and Chief Legal Officer. Mr Sherman’s departure is not related to the operations, policies and practices of the Company. The resignation was accepted by the Executive Chairman.
