Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 6, 2022, Clean Harbors, Inc. (the “Company”) announced the expansion of the Company’s Board of Directors (the "Board") from ten to twelve members and the appointments of Alison Quirk and Shelley Stewart Jr. to the Board, all effective as of August 31, 2022. Ms. Quirk is former Executive Vice President, Chief Human Resources and Citizenship Officer at State Street Corporation. Mr. Stewart leads consulting firm Bottom Line Advisory LLC as Managing Partner and is former Chief Procurement Officer at DuPont and at Tyco International. Both Ms. Quirk and Mr. Stewart will serve as Class I directors whose terms will expire at the Company’s 2023 annual meeting of shareholders. Ms. Quirk will serve on the Board's Compensation Committee and Mr. Stewart will serve on the Board's Environmental, Health and Safety Committee. Ms. Quirk and Mr. Stewart are not now, nor have they during the past three years been, involved in any related party transaction with the Company which would be reportable under Item 404(a) of Regulation S-K. The press release announcing Ms. Quirk’s and Mr. Stewart's appointments is furnished as Exhibit 99.1 to this Form 8-K.
