Item 8.01    Other Events.
In connection with the previously announced offer by Perella Weinberg Partners, a Delaware corporation (the “Company”), to each holder of its outstanding warrants, each exercisable for one share of Class A common stock, par value $0.0001 per share (“Class A Common Stock”), of the Company, at an exercise price of $11.50 per share (the “Warrants”), the opportunity to receive 0.20 shares of Class A Common Stock in exchange for each Warrant tendered by the holder and exchanged pursuant to the offer (the “Offer”), the Company is filing this Current Report on Form 8-K to provide certain unaudited pro forma condensed combined financial information of the Company as of and for the six months ended June 30, 2022 and for the year ended December 31, 2021 that gives effect to certain transactions described therein, as set forth under Item 9.01 below, which is incorporated herein by reference. As further described therein, the unaudited pro forma condensed combined financial information is for illustrative purposes only and does not purport to represent the Company’s consolidated results of operations or consolidated financial position that would actually have occurred if the transactions had been consummated on the dates assumed or to project the Company’s consolidated results of operations or consolidated financial position for any future date or period.

The Offer described in this Current Report on Form 8-K commenced on July 22, 2022. On July 22, 2022, a registration statement on Form S-4 and an exchange offer statement on Schedule TO (the “Schedule TO”), including an offer to exchange, a letter of transmittal and consent and related documents, were filed with the SEC by the Company.
