Explanation of Responses:

1. Neil Subin is the Manager of MILFAM LLC. MILFAM LLC is the manager of Milfam Investments LLC. Mr. Subin disclaims any beneficial ownership of the reported securities other than to the extent of any pecuniary interest he may have therein, directly or indirectly.

2. MILFAM CI LLC SPARTACUS is controlled by MILFAM CI Management LLC, which is owned and controlled by Neil Subin. Mr. Subin disclaims any beneficial ownership of the reported securities other than to the extent of any pecuniary interest he may have therein, directly or indirectly.

3. The warrants became exercisable 30 days after the completing of the company's initial business combination, which closed on October 28, 2021 (the "Business Combination").

4. The warrants will expire five years after the completion of the Business Combination.
