Other Events.

On August 1, 2022, EVO Payments, Inc. (“EVO Payments”) and Global Payments Inc., a Georgia corporation (“Global Payments”), issued a joint press release announcing the entry into an Agreement and Plan of Merger, by and among EVO Payments, Global Payments and Falcon Merger Sub Inc., a Delaware corporation and a wholly owned subsidiary of Global Payments. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
