Regulation FD Disclosure.

As previously disclosed, on December 14, 2021, CMC Materials, Inc. (the “Company” or “CMC”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Entegris, Inc. (the “Entegris”) and Yosemite Merger Sub, Inc., a wholly owned subsidiary of Entegris (“Merger Sub”), pursuant to which, on the terms and subject to the conditions set forth therein, Merger Sub will merge with and into CMC (the “Merger”), with CMC surviving the Merger as a wholly owned subsidiary of Entegris.

On June 24, 2022, CMC and Entegris issued a joint press release announcing the receipt of all required regulatory clearances for the Merger, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference.

The parties expect to close the Merger on or about July 6, 2022, subject to the satisfaction or waiver of customary closing conditions described in the Merger Agreement.
