Other Events.

On June 16, 2022, Oasis Petroleum Inc. (the “Company”) issued a press release announcing that the Board of Directors of the Company declared a special dividend in connection with the Company’s previously announced merger with Whiting Petroleum Corporation (the “Merger”). The payment of the special dividend is contingent upon the closing of the Merger. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
