Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 21, 2022, Carl E. Vogel resigned as a director of Progress Acquisition Corp. (the “Company”). His resignation was not the result of a disagreement with the Company, the Company’s management or the Board of Directors of the Company (the “Board”) on any matter relating to the Company’s operations, policies or practices. Mr. Vogel was the Non-Executive Chairman of the Board and a member of the compensation committee of the Board of the Company prior to his resignation.

Effective April 21, 2022, the Board has appointed Chris Kelly to replace Mr. Vogel as the Non-Executive Chairman of the Board.

Effective April 21, 2022, the Board has appointed Luisa Ingargiola to replace Mr. Vogel as a member of the compensation committee.
