Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 7, 2022, the Compensation Committee (the “Compensation Committee”) of the Board of Directors of Hilton Grand Vacations Inc. (the “Company”) approved material compensation adjustments, including base salaries and long-term incentive (“LTI”) award opportunities, for certain of its named executive officers, as follows: (a) for Mr. Mark D. Wang, the Company’s President and Chief Executive Officer, his base salary was increased from $950,000 to $1,100,000, effective as of January 1, 2022, and the value of his LTI award was granted at 475% of his base salary; and (b) for Mr. Charles R. Corbin, the Company’s Executive Vice President, Chief Legal Officer and General Counsel, his base salary was increased from $477,405 to $525,000, effective as of January 1, 2022, and the value of his LTI award was granted at 250% of his base salary.
