Item 5.02

Departure of Directors or Certain Officers; Election Of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officer

On February 21, 2022, Steven Piaker notified the Board of Directors (the “Board”) of Bill.com Holdings, Inc. (the “Company”) of his decision to resign from the Board and the Audit Committee of the Board, in each case effective as of February 23, 2022. Mr. Piaker’s resignation was not related to any disagreement with the Company over any of its operations, policies, or practices. The Company expresses its appreciation to Mr. Piaker for his service to the Company.
