2. Multiple Voting Shares are convertible into Subordinate Voting Shares on a one-for-100 basis. Multiple Voting Shares are convertible at any time and have no expiration date.

3. Pro rata distribution from Shade Leaf Holding, LLC, of which the reporting person is a non-managing member.

4. Pro rata distribution from Shade Leaf Holding, LLC, of which the Richard May 2020 Trust is a non-managing member.
