Item 8.01.     Other Events.

On January 27, 2022, TreeHouse Foods, Inc. (the “Company”) received from JANA Strategic Investments Benchmark Master Fund, L.P. (together with its affiliates, “JANA”) a notice of JANA’s intent to nominate three candidates to stand for election to the Board of Directors at the Company’s 2022 annual meeting of shareholders.

The Company has maintained an ongoing dialogue with JANA. Last March, it reached an agreement with JANA to add two new directors to the Company’s Board. TreeHouse remains committed to maintaining a Board with diverse perspectives and backgrounds, and the Board’s Nominating and Corporate Governance Committee will review JANA’s nominees in due course. The TreeHouse Board currently consists of directors with diverse and deep skillsets relevant to TreeHouse’s strategy and its pursuit of value creation. The Board has undertaken significant recent refreshment, with eight of its 10 directors joining the Board in the past four years, including the two new directors appointed in March 2021.

As previously announced, following engagement with many of its shareholders, the Board is conducting a review of strategic alternatives focused on maximizing shareholder value, including a possible sale of the Company or a transaction to allow the Company to focus on its higher growth Snacking & Beverages business by divesting a significant portion of its Meal Preparation business. The review process is ongoing, and the Company does not intend to comment further on the process, unless and until the Board has approved a specific course of action, or otherwise determined that further disclosure is appropriate or required by law. As this process continues, TreeHouse and its Board remain focused on continuing to capitalize on the strong fundamentals of the Company’s business and driving growth, profitability and value.
