Item 1.02 Termination of a Material Definitive Agreement.

On January 6, 2022, the Company notified Bank of America, N.A. that it was terminating the Loan and Security Agreement (the “Loan and Security Agreement”), by and among the Company, the financial institutions party thereto from time to time as Lenders and Bank of America, N.A., a national banking association, as agent for the Lenders (in such capacity, “Agent”). No amounts were due or outstanding as of the date of the notice, and therefore the termination was effective immediately. Accordingly, the Lenders’ security interests in substantially all of the Company’s assets were also terminated.
