Item 5.02.     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;
Compensatory Arrangements of Certain Officers

Ms. Lori Roberts service as TreeHouse Foods, Inc. (“TreeHouse” or the “Company”) Senior Vice President, Chief Human Resource Officer will terminate effective December 31, 2021. The Company intends to enter into an Agreement with Ms. Roberts which provides separation benefits consistent with a termination without cause under the Company’s amended and restated Executive Severance Plan dated April 26, 2017, as further amended on February 7, 2021.
