Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 16, 2021, the size of the Board of Directors of First Financial Corporation (the “Corporation”) was increased from 15 directors to 16 directors and Susan M. Jensen was appointed, effective immediately, to serve as director for the term of three 3 years, expiring in 2024.

Ms. Jensen was also appointed to the Board of Directors of the Corporation’s national banking association subsidiary, First Financial Bank N.A. (the “Bank”). A determination has not yet been made with respect to the appointment to a committee of the Board of Directors.

As a non-employee director, Ms. Jensen will receive compensation on the same basis as the current non-employee directors receive for her service on the Board of Directors of the Corporation (including for service on a committee thereof).

There were no arrangements or understandings between Ms. Jensen and any other person pursuant to which such person was appointed as a director. There have been no transactions involving Ms. Jensen that would require disclosure under Item 404(a) of Regulation S-K.
