Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 12, 2021, Kermit R. Crawford and Siddharth N. Mehta, members of the Board of Directors (the “Board”) of TransUnion (the “Company”), each informed the Company of his intention to resign as a director of the Company, effective December 31, 2021. Each of Mr. Crawford and Mr. Mehta advised the Company that his decision to resign did not involve any disagreement with the Company. Each of the resignations was intended to avoid any potential conflict of interest that may arise in connection with Mr. Crawford and Mr. Mehta’s membership on the board of directors of an unrelated company, which potential conflict relates to the recent announcement by the Company of a pending acquisition. Effective January 1, 2022, the Board will reduce its size to nine members.
