STATEMENT PURSUANT TO GENERAL INSTRUCTION E TO FORM S-8

The purpose of this Registration Statement is to register 2,500,000 additional shares of common stock, no par value per share, of Mayville Engineering Company, Inc. (the “Registrant”) issuable under the Mayville Engineering Company, Inc. 2019 Omnibus Incentive Plan, as amended.

Pursuant to General Instruction E of Form S-8, the contents of the Registrant’s Registration Statement on Form S-8 (Registration No. 333-234506), including the documents incorporated by reference therein, are incorporated by reference into this Registration Statement.
