EXPLANATORY NOTE

This Amendment No. 1 to Schedule 14A (the “Amendment”) is being filed to amend Greencity Acquisition Corporation's (the “Company”) definitive proxy statement for its 2021 Annual Meeting of Shareholders (the “Proxy Statement”), which was filed with the Securities and Exchange Commission on October 4, 2021. The Amendment corrects a scrivener’s error in the Proxy Statement, which includes the incorrect record date. The Proxy Statement, as filed, incorrectly stated the Record Date as September 29, 2021. The correct record date is September 28, 2021.

No other changes have been made to the Proxy Statement or to the matters to be considered by the shareholders. All other items of the Proxy Statement are incorporated herein by reference without change. Capitalized terms used but not otherwise defined in this Amendment shall have the meanings assigned to such terms in the Proxy Statement. This Amendment should be read in conjunction with the Proxy Statement.
