Item 1.02.    Termination of a Material Definitive Agreement.  
 
On September 27, 2021, Summit Materials, LLC (“Summit LLC”) and Summit Materials Finance Corp. (together with Summit LLC, the “Issuers”), indirect subsidiaries of Summit Materials, Inc., deposited with Wilmington Trust, National Association, as trustee (the “Trustee”) under the indenture governing the Issuers’ 5.125% Senior Notes due 2025 (the “Notes”), funds sufficient to redeem all $300,000,000 in aggregate principal amount of the Notes on September 27, 2021. Upon deposit of the redemption payment with the Trustee, the indenture governing the Notes was satisfied and discharged.
