Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 30, 2021, the Board of Directors (the “Board”) of Crimson Wine Group, Ltd. (the “Company”) approved stock option awards under the Crimson Wine Group, Ltd. 2013 Omnibus Incentive Plan to the Company’s named executive officers as follows: (i) Jennifer L. Locke, Chief Executive Officer, options to purchase 66,000 shares of the common stock of the Company (“Common Stock”), (ii) Karen L. Diepholz, Chief Financial Officer, options to purchase 49,000 shares of Common Stock, and (iii) Nicolas M.E. Quillé, Chief Winemaking and Operations Officer, options to purchase 49,000 shares of Common Stock.

Subject to the terms of the respective option award agreements, the options will vest in four equal increments on each of January 4, 2022, January 4, 2023, January 4, 2024 and January 4, 2025, and the options will expire seven years from the date of grant. The exercise price for the options will be the closing price on the date of grant.

The foregoing description of the option awards is not complete and is qualified in its entirety by reference to the full text of the form of option award agreement, which will be filed as an exhibit to the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2021.
